Part of a Board that opposed the changes coming, any idea why they're staying on ?

Remember 2015 and the passing of the baton at FFA from Frank Lowy to Steven?

The deputy chairman at Westfield and FFA, Brian Schwartz, chaired a FFA nominations committee as part of a search by executive headhunters, Egon Zehnder.

In addition to the outgoing Chairman's son, Steven Lowy, Egon Zehnder came up with two other Sydney people with close links to the Lowy family and/or Schwartz and/or another then Board member and close Lowy confidante, Phil Wolanski. 

Those two people, Kelly Bayer Rosmarin and Crispin Murray, intend remaining on the FFA Board until their term expires next year.

There is also the case of Chris Nikou and Daniel Moulis, who were appointed to the FFA Board in 2014 and 2015 respectively. They are standing for election also. 

So regardless of who is elected on 19 November, at least two (Rosmarin and Murray) and perhaps four (Nikou and Moulis) of the current Board, will be part of a new Board despite also being party to the current Board’s prolonged three-year battle to broaden the representation of the FFA Congress, and to the Board’s objections to the changes to the FFA Constitution that were agreed on 2 October this year.

That brings us to 2018. 

Within the limitations of the Congress Review Working Group (CRWG) report, which we have written previously about, on the plus side:

  • No money is being spent on a headhunting firm; 
  • There are 12 nominees which, in theory at least, means there is competition and choice for the voting stakeholders;
  • Nominations can now be made by 19 people (all men), instead of the previous group of three;
  • Votes can now be lodged by 29 people, instead of ten.

On the minus side:

  • Despite being able to make a nomination or second a nominee, only five (from nine) state federations and only three (from nine) A-League clubs did so;
  • Other than the PFA, not one of the Congress members has announced who they nominated or seconded. Instead, we had to reveal it exclusively here;
  • 10 of the people who will be voting for the FFA Board on 19 November have not yet been announced, ie. the members of the Women’s Council;
  • Other than Craig Foster, who has a public profile and whose views on football are widely known and public, it is unclear what any of the candidates actually stand for and, more to the point in terms of best governance practice, why they were nominated.

Let’s consider these four issues.

1.  Lack of engagement in process

The low number of nominators points to a number of alternatives. 

The first is that the past three years was a giant waste of time because the A-League clubs in particular fought for the right, amongst other things, to nominate Board members but only three clubs bothered to do so: Melbourne City, Melbourne Victory and Western Sydney Wanderers. That is not likely to be the case. 

The second is that, as we mentioned last week, they clubs are in furious agreement with one another and the three nominating clubs merely signed the paperwork.

The third is that the outcome is already determined.

The fourth is that both points two and three are correct.

In terms of the state member federations, it is encouraging to see that the ACT, Tasmania and Northern NSW are amongst the active parties to the nomination process, especially considering their objections to the entire reform process. They are even in agreement with some of those they previously battled against: for example, the ACT joined with Melbourne Victory to nominate Stephen Conroy (a Melbourne City ambassador), and with Melbourne City to nominate Linda Norquay. 

The fact that some of the state federation nominators haven’t actually met some of the people they nominated is apparently not important to them. 

The most notable absentee from the nomination process is the biggest state federation, NSW.  Queensland, Western Australia and the Northern Territory all failed to nominate someone also. 

We understand that NSW pushed hard for a particular candidate’s nomination but then asked another federation to sign the nomination document. Many in football circles are speculating as to why this might be the case, especially as the Football NSW President, Anter Isaac, has been highly active in this saga up until now. 

2.  Lack of transparency of nominations

Other than the fact that we revealed who nominated and seconded who, the only party that has publicly announced its nominees are the PFA. 

We expect that the reason why the others haven’t is because it points to how the vote for the four positions may unfold on 19 November. 

There are four candidates who have cross-factional support from both state member federations and A-League clubs: Conroy, Judith Griggs, Remo Nogarotto and Norquay. Cross-factional support is important as the "prescribed majority" to elect directors is 60%; the state member federations and A-League clubs account for 83% of the vote. 

  • At a glance? Two men, two women, one ‘old soccer’ type, two fans, a lawyer who is also a sports rights expert, an accountant trusted by the major broadcasting partner and two who know the political landscape well.

A further two candidates are supported by the A-League clubs: Joseph Carrozzi and Nikou.

  • At a glance? Both are lawyers, Carrozzi is also an accountant, one from the big end of town with fingers in multiple corporate pies, one with a knowledge of how the AFL does what it does so successfully, the other with knowledge of the Big Bash League, one who – putting aside the flip-flopping – might know a few things about the old Board and its decisions that could be useful, both were on the Asian Cup Board chaired by Frank Lowy.

Four candidates are supported wholly by state member federations: Morry Bailes, Moulis, Mark Rendell and Mark Shield.

That brings us to Foster and Heather Reid nominated by the PFA, and with a seconder from the ACT in respect of Reid.

  • At a glance? Former Socceroo, professional player, grassroots and elite coach, media experience, football administrative experience, international experience. Foster has been Chairman and CEO of the PFA (which presumably spooks the A-League clubs), and is a member of the Federal Government's Australian Multicultural Council. Reid also served on the Asian Cup Board chaired by Frank Lowy.

3.  10 voters unknown

Football Today clarified with three Congress members that the Women’s Council members will be in place to vote for the Board members. Each of the ten Women’s Council members has one vote.

The problem is that, two weeks out from voting in the only election this century, the Board nominees do not know who the voters are, and the putative Women’s Council members may or may not know much about the Board members they will be asked to vote for. 

Let’s hope at least that the Women’s Council members are allowed to come to an independent decision, and not expected to vote as directed by their nominators. 

We understand that the PFA has agreed to their three nominated members, all of whom are current players. 

4.  Why were the candidates nominated?

Football Today is aware that a number of nominators have not met the individual(s) they nominated. We asked the state member federation presidents concerned why they nominated someone they hadn’t met. Only one responded saying they had conducted due diligence including telephone calls with the candidates. 

Some candidates were also asked for comment; only Rendell responded, confirming he had not met his nominator, Bob Gordon from Tasmania, but had one telephone call with him. 

To say that this is unusual, would be an understatement. 

Only the PFA has announced who they have nominated and why.

Final word

We checked what the Australian Institute of Company Directors (AICD) had to say about Board nomination processes, and we leave the final word to their guidelines for readers to make up their own mind about how the new Congress is going about their business. 

"... there should be a formal and transparent procedure for the selection, appointment and reappointment of directors helps to build a relationship and helps to foster a relationship of confidence and understanding".

Oh, I totally agree with you on that and in many ways it would be good if other groups were as pushy as these guys or if it was all a little more transparent given the climate.

I dunno, they just come off as a little 'desperate to be seen as a big boy' sometimes and it grates on me.Having said that, I guess if this is what it takes to get heard then perhaps I should be blaming those who created that environment (and I do) and not the ones who do what they feel they have to.

Interesting in the PFA release they did a brief thing on Foster and IMO it adds to his application.

Craig Foster is one of Australia’s most renowned and respected footballing identities. He achieved on-field success in both England and Australia before transitioning into the media as an expert commentator and analyst. Foster is graduating from a Bachelor of Laws in 2019, has a Master’s Degree in International Sports Management and an AFC Pro-Licence in coaching.

It's a new board to be set-up under a model that appears to have good support in the community and she is still is trying to bag Lowy.  Will she ever get over her hate for Lowy?  You can't take anything she says seriously, it's all tainted by her hate for Lowy. She also repeated the "Nogarotto for chair" line later in the article. 

strangely enough...you and a few others are harping on about Mersiades hatred for Lowy....it appears you are just as biased against her as you say she is against the Lowys...
Most in football want to see the end of any Lowy influence in football so I would suggest your constant "anti Bonita lobbying" is a little strange to say the least ....what makes you so pro Lowy ?

FFA Board Director criteria

The CRWG qualifications matrix for a FFA Board Director is one aspect of the process that is transparent and facilitates a degree of accountability. It allows us to make our own assessment based on what we do know of the candidates, and what is the best mix of individuals and their skills to serve football.

There are three parts to the criteria. 

Part one includes four qualifying criteria:

  • Commitment to a strong governance regime for Australian football.
  • Commitment to developing policies and strategies for football generally in Australia.
  • Not involved in activities that could be perceived, or actually, interfere in the ability to act in the best interests of FFA and Australian football.
  • Free of any potential conflict of interest that could interfere in the ability to act in the best interests of FFA and Australian football.

In part two, nominated candidates “must possess all” of these three criteria:

  • Demonstrated leadership at senior level.
  • Demonstrated commitment to strong governance principles and an understanding and appreciation of the duties of Directors.
  • Commitment to ethical behaviour.

Finally, part three of the matrix requires that candidates must possess at least one of the following:

  1. Legal qualification
  2. Accounting qualification
  3. Knowledge of elite football as a player, coach or official at NPL level and above
  4. “Exceptional” governance and/or administrative experience in football or another professional sport
  5. Business experience, MBA qualification or senior management experience
  6. Technology experience or qualification
  7. Marketing/communications experience at a senior level
  8. Government relations or international experience at a senior level.*

Not sure but he has an honours degree from Reading University in Economics and Human Geography.

Spent most of my Uni life trying to study Human Geography.

Theory was fine (read all the magazines), I just failed the practical.

Took a bit of reading to find some sort of 'plan' but there is this

In the next few days, I will share a broader plan developed in collaboration with the players’ representative body. It is a really exciting and energizing overview of issues the new Board will be challenged with addressing


my main focus is on ensuring we connect all parts of our sport – from the grass roots to the Professional Leagues to National Teams for their mutual benefit.

This includes the critically important NPL tier and developing a roadmap for its integration in the professional football pyramid and a timeline for promotion and relegation, something our game needs to aim and plan for as a vital part of a football culture.

  • Not involved in activities that could be perceived, or actually, interfere in the ability to act in the best interests of FFA and Australian football.

  • Free of any potential conflict of interest that could interfere in the ability to act in the best interests of FFA and Australian football.

In part two, nominated candidates “must possess all” of these three criteria:

  • Demonstrated leadership at senior level.
  • Demonstrated commitment to strong governance principles and an understanding and appreciation of the duties of Directors.

  • Commitment to ethical behaviour.

Finally, part three of the matrix requires that candidates must possess at least one of the following:

  1. Legal qualification
  2. Accounting qualification
  3. Knowledge of elite football as a player, coach or official at NPL level and above
  4. “Exceptional” governance and/or administrative experience in football or another professional sport
  5. Business experience, MBA qualification or senior management experience
  6. Technology experience or qualification
  7. Marketing/communications experience at a senior level
  8. Government relations or international experience at a senior level.*

Scorecard

We take it as a given that each of the nominees meet the general criteria in parts one and two. We are aware that one nominated candidate was knocked-out by the Nominations Committee for not meeting at least one of these seven criteria.

We have, therefore, assessed the remaining nominees against the CRWG’s qualifications matrix outlined above (1-8) to provide a scorecard as a guide to who might be best qualified for these important roles on the FFA Board. 

As the Board should be balanced in its skills and experience, we have also included the two existing Board members, Crispin Murray and Kelly Bayer Rosmarin, who seem to be staying on the Board for at least another 12 months.

It is worth noting also that, once elected, the Board may appoint up to three additional people.

It's all happened so quickly after his involvement in the Southern bid, hard to believe that he would come onto the board with zero connection to that bid.

To be honest, it doesn't really sound like a brand new start in terms of governance, more powerful people working out ways to get their man on the board.

In 2003, the Australian Premier League blueprint produced by Professional Footballers Australia outlined a vision for a viable national professional league. The APL model was the result of significant investment by the players and became a catalyst for the creation of the A-League. Unfortunately, some of its key recommendations were not implemented. For example, the APL placed multiple teams in Sydney and Melbourne to target the largest population bases and generate local derbies, an outcome we see the benefits of today after failed expansion attempts elsewhere. The APL also insisted the new league be run by an independent commission, a position that was supported by the Crawford Report, and one which we may be belatedly moving towards now.

A-League and W-League independence can deliver a new vision for the professional game. The leagues will be better positioned to attract game-changing capitalisation. The governing body will be released to focus its full capability and energy of the grassroots and National Teams. Of course, it is essential that the new league structures include mechanisms that ensure the game’s broader interests are served by their success.

The growth of the professional footprint – both horizontally through expansion and vertically through the establishment of a second tier – is critical for three reasons.

Firstly, more teams mean more opportunities for young players, coaches and administrators, which is crucial for the development of our own human capital from within the game. It will allow us to identify talent, support and invest in our people – one of our two core principles.

Nothing new but has a good summary midway

There are four vacancies on the FFA board to be filled at the AGM.

The board would then have scope to appoint a further three directors to the board, who do not have to come from the list of nominees.

The new directors will join incumbents Crispin Murray and Kelly Bayer Rosmarin, who opted not to resign from the FFA board despite their fierce opposition to recent governance reforms.

The terms of Chris Nikou and Danny Moulis have expired but the pair are also seeking re-election

According to the Football Today website, there are four candidates whose nominations garnered "cross-factional" support from state federations and A-League clubs: Nikou, Stephen Conroy, Remo Nogarotto and Linda Norquay.

Under the new FFA congress structure, 60 per cent of votes are required to elect a director.

The clubs and state federations account for 83 per cent of the votes and could theoretically work in tandem to push through directors of their choice.

Alex Wilkinson is on the womens council.

For some reason I assumed that the 10 womens council members would all be women. As I think about it I dont have a problem with men being on it but I wonder if anyone else will.
